Terms of Service

These Terms of Service ("Terms") govern your access to and use of StructSure's software and websites, including the SiteMap application and the StructSure account platform (the "Services"), provided by StructSure, LLC ("StructSure," "we," "us"). By creating an account or using the Services, you agree to these Terms. If you are agreeing on behalf of a company, you represent that you are authorized to bind that company ("Customer").

1. The Services

StructSure provides workforce and staffing‑intelligence tools for construction companies on a subscription basis. We may update, improve, or change features over time. We may also offer trials or pilot access on the terms stated at sign‑up.

2. Accounts

• You must provide accurate information and keep your credentials secure. You are responsible for activity under your account.
• Admins control their company's workspace, including inviting members and recruiters and assigning roles/seats.
• You must be at least 18 and use the Services for business purposes.

3. Customer data & responsibilities

• Ownership. As between the parties, the Customer owns the data it enters ("Customer Data"). The Customer grants StructSure a limited license to host and process Customer Data solely to provide and support the Services.
• Employee/candidate data. The Customer is responsible for having a lawful basis to provide any personal information about its employees or candidates, and for any notices or consents required of it. StructSure processes that data on the Customer's behalf as described in our Privacy Policy and any Data Processing Addendum.
• Accuracy & conduct. You are responsible for the content you enter and for using the Services lawfully.

4. Acceptable use

Don't misuse the Services. In particular, don't: break the law; infringe others' rights; upload malware; attempt to access data you're not authorized to; probe, scrape, or disrupt the Services or their security; or resell the Services without permission. Authorized security testing requires our prior written consent.

5. Subscriptions, seats & billing

• Paid plans are billed per seat on the cycle shown at checkout, processed by Stripe. By subscribing you authorize recurring charges until you cancel.
• Trials. If a trial requires a card, it converts to a paid subscription at the end of the trial unless you cancel first.
• Changes. Adding seats may be prorated; reducing seats takes effect [per your billing rules].
• Cancellation. You can cancel anytime; access continues through the paid period. Fees are non‑refundable except where required by law or expressly stated. [Confirm refund policy.]
• Recruiters. Recruiter access is provided by invitation and [is not a paid seat / is billed as follows — confirm].

6. Intellectual property

StructSure and its licensors own the Services, software, and all related IP. We grant you a limited, non‑exclusive, non‑transferable right to use the Services during your subscription. You get no rights except as stated here. Feedback you provide may be used by us without obligation.

7. Confidentiality

Each party will protect the other's non‑public information disclosed in connection with the Services and use it only to perform under these Terms.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, STRUCTSURE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. We do not warrant that the Services will be uninterrupted or error‑free. Staffing insights are decision‑support tools, not professional or legal advice.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, STRUCTSURE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE [12] MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You will defend and indemnify StructSure against third‑party claims arising from your Customer Data or your misuse of the Services, to the extent permitted by law.

11. Term & termination

These Terms apply while you use the Services. Either party may terminate per the subscription terms or for material breach. On termination, your right to use the Services ends; you may request export of your Customer Data for [e.g., 30] days, after which we may delete it per our Privacy Policy.

12. Changes to these Terms

We may update these Terms; for material changes we'll provide notice. Continued use after changes take effect means you accept them.

13. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict‑of‑laws rules. The parties submit to the courts located in [county], California. [Confirm venue / any arbitration clause.]
